Singapore exercises a liberal regime towards allowing foreign companies that wish to set up operations in Singapore. Singapore allows 100% foreign ownership and freely allows repatriation of capital and earnings. The tax regime is also favourable, if structured correctly. Option 1 Singapore Subsidiary Company
A subsidiary company is a locally incorporated limited liability company where, majority of shares are held by the foreign company. For tax purposes the Singapore subsidiary is treated as a resident company. A subsidiary company, with at least one individual shareholder with a minimum 10% shareholding, is entitled to local tax exemption of Zero tax for the first SGD100,000 income. A foreign company may register a Branch office in Singapore. The Branch Office will however lack a distinct legal entity and will be treated as an extension of the foreign company. The foreign companyâs headquarters is liable for all the acts, losses and debts of the Branch office. It is required to submit its own as well as the foreign companyâs audited financial reports. Option 3 Singapore Representative Office
A foreign company interested in establishing operations in Singapore may explore the prospects by establishing a Representative Office (RO). It is an ideal way to asses the opportunity prior to making any long term or large scale commitment. The RO cannot engage in commercial revenue generating activities. Must appoint a chief representative staff member from the head office who will relocate to Singapore and oversee the activities of RO. Foreign staff members relocating to Singapore must obtain employment pass.
